No rights are granted to you by implication, estoppel, or otherwise, and all rights in and to the Content not expressly granted are reserved by Interwell.

5. FEEDBACK LICENSE

If you provide Interwell with feedback or suggestions regarding the Website, you grant Interwell a non-exclusive, worldwide, royalty-free, irrevocable, sublicensable right and license to use the feedback without restrictions or obligation. 9. THIRD-PARTY LINKS, WEBSITES, AND SERVICES

The Website may contain links to third-party websites, services, offers, or other events or activities that are not owned or controlled by Interwell. Such links are provided for convenience only and do not constitute an endorsement, sponsorship, or recommendation by Interwell.

Interwell does not control, and makes no warranties or representations regarding, any third-party websites or services, including, but not limited to, their availability, content, products, software, materials, services, accuracy, or appropriateness. Accessing and using any third-party website or service is at your sole risk and discretion.

Please note that third-party websites and services may have terms, policies, and practices that differ materially from these Terms, including with respect to the collection and use of personal information and the use of any proprietary or other information posted on the Website. You should review the applicable terms of use and privacy policies of any third-party website before providing any information or using such website or service. To the maximum extent permitted by law, Interwell refuses any liability arising from your access to or use of any third-party websites or services.

10. COMMUNICATIONS PREFERENCES

By accessing or using the Website, or otherwise providing contact information to Interwell, you consent to receive certain communications from us, including by phone call and electronically, such as by email, text message, in-app/portal message, or through notices posted on the Website (collectively, “Informational Electronic Communications”). Informational Electronic Communications may include administrative, operational, and informational, and service-related communications (e.g., appointment reminders, care management communications, information about eligibility and enrollment, security notices, changes to these Terms, and other information relating to your account and relationship with Interwell). You may opt out of such communications at any time through any reasonable means.

Where permitted by law, we may also send you certain marketing or promotional communications, including by phone call and electronically (e.g., newsletters, educational materials, surveys, and updates about programs or services that may be of interest) (“Marketing Electronic Communications”). You may opt out of Marketing Electronic Communications at any time using the unsubscribe instructions included in those communications or through any other reasonable means. Opting out of Marketing Electronic Communications will not opt you out of Informational Electronic Communications (including legally required communications) unless you expressly indicate that you are opting out of all communications from Interwell.

You agree that the Informational Electronic Communications and Marketing Electronic Communications we provide to you satisfy any legal requirement that such communications be in writing, unless applicable law expressly requires a different form of communication. You are responsible for keeping your contact information current and for retaining copies of such communications (e.g., by printing or saving them).

11. TELEPHONE CALLS, TEXT MESSAGES, AND FAX

11.1 Consent to Contact. By providing your telephone number and/or fax number to Interwell, you consent to receive recurring calls and text messages from Interwell (and from those acting on Interwell’s behalf) for informational purposes related to your account with Interwell, the Website, and Interwell’s services. If you have also consented to receive telemarketing communications, you are expressly consenting to receive recurring marketing calls and text messages from Interwell (and from those acting on Interwell’s behalf). You specifically consent to such informational and telemarketing (where applicable) communications being made through the use of an automated telephone dialing system and/or through the use of an artificial or prerecorded voice message or artificial or prerecorded voicemail.

11.2 Opt-Out and Revocation of Consent. Individuals may opt-out of the informational and/or telemarketing calls and text messages referenced in Paragraph 11.1 through any reasonable means. For text messages, this includes opting out at any time by replying “STOP” to any message. For help, reply “HELP.” You may also opt-out through other reasonable means, including by submitting an opt-out request by emailing privacy@interwellhealth.com and including the phone number(s) and/or fax number(s) you want to opt out. After you opt out of text messages, you may receive one final confirmation message.

11.3 Text Message Programs. Interwell may offer one or more text message programs, which may include appointment reminders, follow-up messages, program updates, and other communications related to health programs you participate in or may be eligible for. By opting-in to a text program (including by following the enrollment instructions we provide or by replying “Y” or “Yes” to an enrollment message, where applicable), you confirm that you are authorized to enroll the mobile number provided and that you consent to receive text messages for that program. Message frequency may vary depending on the program and your interactions with Interwell. Message and data rates may apply based on your wireless plan. You are responsible for any charges imposed by your carrier. Delivery is not guaranteed. Carriers and Interwell are not responsible for delayed or undelivered messages. We may modify, suspend, or discontinue any text program at any time.

Text programs are offered on an “as is” and “as available” basis and may not function in all areas or on all devices/carriers, and may be affected by changes to your carrier’s services, software, or coverage. To the fullest extent permitted by law, Interwell disclaims liability for losses or damages arising from or relating to text program interruptions, technical failures, or delays. Interwell reserves the right to terminate text delivery to any person at any time in its sole discretion.

11.4 Privacy and Security of Mobile Communications. Text messages and other mobile communications may not be encrypted and may be viewable by anyone with access to your mobile device, your messaging account, or your carrier account. You are responsible for maintaining the security of your device and account. Do not use text messaging to send highly sensitive information unless you are comfortable with the associated risks.

11.5 Protected Health Information. To the extent any information you provide or that is used in connection with the services constitutes protected health information (“PHI”), that information is governed by the applicable Notice of Privacy Practices issued by your provider and/or health plan (as applicable), and not solely by Interwell’s Privacy Policy.

12. LINKING TO THIS WEBSITE AND CERTAIN SOCIAL MEDIA FEATURES

12.1 Linking Permission. You may link to publicly available pages of the Website from a website you own or control, provided that your link: (i) is fair and lawful; (ii) does not damage, dilute, or take unfair advantage of Interwell’s reputation or goodwill; and (iii) does not infringe Interwell’s intellectual property rights or the rights of any third party.

12.2 Prohibited Linking and Use. You must not, and you agree not to permit others to:

  • Link from unauthorized websites. Establish a link from any website that you do not own or control, or in a manner that violates the terms or policies of that website.
  • Frame or embed the Website. Display, mirror, frame, “scrape,” or cause the Website or any Content to be displayed within another website or service (e.g., through framing, inline linking, or similar methods) in a way that suggests the Content is part of another website or service.
  • Imply endorsement. Use any link to the Website in a manner that suggests Interwell is affiliated with, sponsors, endorses, or approves you, your website, or your products or services, without Interwell’s prior written consent.
  • Misuse Interwell branding. Use Interwell’s name, logos, trademarks, or other brand features in connection with any link without Interwell’s prior written consent, except that you may use plain text to identify Interwell as the source of the linked page.
  • Link from objectionable or unlawful content. Place a link to the Website on any page that includes or promotes content that is unlawful, defamatory, infringing, fraudulent, pornographic or sexually explicit, harassing, threatening, hateful, or otherwise objectionable, or that encourages violation of any applicable law.
  • Otherwise violate these Terms. Take any action with respect to the Website or Content that is inconsistent with these Terms.

12.3 Social Media Features. The Website may provide features that allow you to share or transmit Content or links to Content (e.g., through email or third-party social media platforms), or to display limited portions of Content, where such functionality is expressly made available by Interwell (the “Social Media Features”). You may use the Social Media Features only as provided by Interwell, only with respect to the Content for which they are made available, and only in compliance with these Terms and any additional instructions or terms presented with the applicable feature.

12.4 Reservation of Rights. Interwell may revoke linking permission or disable any Social Media Features at any time, in its sole discretion, without notice. You agree to promptly cooperate with Interwell to cease any unauthorized linking, framing, or display of the Website or Content upon request.

13. DISPUTE RESOLUTION; ARBITRATION AGREEMENT

13.1 If you have any concern or dispute regarding the Website, these Terms, or the Privacy Policy (“Claim”), you agree to first try to resolve the dispute informally and in good faith by contacting us and providing a written Notice of Claim to Interwell at the address set forth in Section 12.5 of these Terms. The Notice of Claim must provide Interwell with fair notice of your identity, a description of the nature and basis of your Claim, and the relief you are seeking, including the specific amount of any monetary relief you are seeking, and cannot be combined with a Notice of Claim for other individuals. Neither party shall initiate any legal action until forty-five (45) days (the “Notice Period”) after the Notice of Claim is received by Interwell.

13.2 If any dispute related to your Claim is not resolved within the Notice Period, any resulting legal disputes you intend to initiate must be resolved through final and binding individual arbitration. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules and Consumer Fee Schedule (in effect at the time the arbitration is initiated) and will be governed by the Federal Arbitration Act. YOU AND INTERWELL AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

13.3 Payment of AAA filing fees, administrative fees, and arbitrator compensation will be governed by the applicable AAA rules and fee schedule. Each party will bear its own attorneys’ fees and costs, except where the arbitrator awards fees or costs as permitted by applicable law.

13.4 The Parties hereby agree that the arbitration shall be conducted in-person in Massachusetts, or may be conducted remotely by videoconference or telephone, at either party’s request, as determined by the arbitrator. The arbitrator may require that some or all proceedings be conducted remotely and may allow submission of evidence and argument by written filings where appropriate.

13.5 NOTICE ADDRESS. Any required pre-arbitration notice should be sent to Interwell at:

Attn: Interwell Health
68 Harrison Ave #605 PMB 39516
Boston, Massachusetts 02111
Email: legal@interwellhealth.com

13.6 If this arbitration agreement is found unenforceable, claims must be brought exclusively in the state or federal courts located in Suffolk County, Massachusetts and both parties waive the right to a jury trial.

14. TERMINATION OR MODIFICATIONS TO WEBSITE

We reserve the right to modify or terminate your access to this Website (or portions of this Website) at any time, temporarily or permanently, with or without notice to you. From time to time, we may restrict access to some parts of this Website, or the entire Website, to users, or charge fees for access to portions of this Website.
